These Website Terms and Conditions (“Terms”) govern your access to and use of the HOUSTON FiNTECH website located at houstonfintech.com, including its webpages, forms, portals, document-upload functions, content, tools, communications, and related online services collectively referred to as the “Site.”


The Site is owned and operated by Frequency Communications Inc. d/b/a HOUSTON FiNTECH, referred to in these Terms as “HOUSTON FiNTECH,” the “Company,” “we,” “us,” or “our.”


By accessing, browsing, submitting information through, registering with, or otherwise using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.


If you do not agree with these Terms, you must not access or use the Site.


1. ABOUT HOUSTON FiNTECH


HOUSTON FiNTECH is a non-bank private capital advisory and brokerage firm. We assist real estate investors, developers, builders, business owners, commercial borrowers, and referral partners with services that may include:

  • Capital readiness assessments;
  • Financing strategy;
  • Transaction structuring;
  • Loan and capital-request packaging;
  • Lender and capital-source identification;
  • Private lending and private credit placement;
  • Commercial real estate financing;
  • Residential investment-property financing;
  • Construction and development financing;
  • Business and asset-based financing;
  • Equipment and project financing;
  • Selected debt and equity capital introductions;
  • Underwriting support;
  • Due diligence coordination; and
  • Closing support.


HOUSTON FiNTECH is not a direct lender unless we specifically identify ourselves as the lender in a separate written agreement.

Financing is generally offered, underwritten, approved, documented, funded, and serviced by independent third-party lenders, investors, financial institutions, private credit funds, or other capital providers.


2. WEBSITE INFORMATION ONLY


The Site is provided for general informational, educational, marketing, inquiry, and transaction-intake purposes.


Unless expressly stated in a separate written agreement signed by HOUSTON FiNTECH, nothing on the Site constitutes:

  • A loan application approval;
  • A loan commitment;
  • A commitment to arrange financing;
  • A promise to obtain financing;
  • A securities offering;
  • An offer to purchase or sell securities;
  • A credit decision;
  • A term sheet;
  • A binding financing proposal;
  • A guarantee of rates, terms, proceeds, timing, or closing;
  • Legal, tax, investment, accounting, appraisal, engineering, insurance, or regulatory advice; or
  • The creation of an advisory, brokerage, agency, fiduciary, lender-borrower, attorney-client, or other professional relationship.


Submitting an inquiry or financing opportunity through the Site does not require HOUSTON FiNTECH or any capital source to review, accept, approve, underwrite, or fund the opportunity.


3. SEPARATE ENGAGEMENT AGREEMENTS


Certain services offered by HOUSTON FiNTECH require a separate written agreement, including an advisory engagement, brokerage agreement, placement agreement, referral agreement, fee agreement, processing agreement, term sheet, invoice, or other transaction-specific document.


Your use of the Site alone does not create a formal engagement with HOUSTON FiNTECH.

A formal client or referral-partner relationship is established only when the applicable agreement has been accepted or signed and any required engagement fee, processing fee, due diligence fee, retainer, deposit, or other initial payment has been received.


If these Terms conflict with a signed transaction-specific agreement, the signed transaction-specific agreement will control with respect to that transaction.


4. BUSINESS-PURPOSE AND INVESTMENT TRANSACTIONS


Unless expressly stated otherwise in writing, the financing and capital services described on the Site are intended primarily for:

  • Commercial transactions;
  • Business-purpose transactions;
  • Investment-property transactions;
  • Real estate development;
  • Construction;
  • Income-producing property;
  • Business acquisitions;
  • Working capital;
  • Equipment financing;
  • Project financing; and
  • Other non-consumer capital needs.


The Site is not intended to serve as an offer of personal, family, or household credit in any jurisdiction where HOUSTON FiNTECH or the applicable capital source is not authorized to offer or arrange such credit.


You are responsible for accurately identifying whether your proposed financing is for a business, commercial, investment, or consumer purpose.


5. ELIGIBILITY AND AUTHORITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site.


If you use the Site on behalf of a company, limited liability company, partnership, trust, nonprofit organization, investment entity, or other legal entity, you represent and warrant that:

  1. You are authorized to act for that entity;
  2. You are authorized to provide the submitted information and documentation;
  3. You have authority to accept these Terms on the entity’s behalf; and
  4. Your use of the Site does not violate the entity’s governing documents or any applicable agreement.


We may request documentation verifying your identity, ownership, authority, entity status, or relationship to a transaction.


6. NO GUARANTEE OF FINANCING


HOUSTON FiNTECH does not guarantee that:

  • A financing request will be accepted;
  • A lender or capital provider will be identified;
  • Any lender will issue a term sheet;
  • A term sheet will result in final approval;
  • An approval will result in funding;
  • A particular loan amount, interest rate, leverage level, amortization, maturity, advance rate, or repayment structure will be available;
  • A transaction will close within a particular period;
  • A borrower will satisfy lender eligibility or experience requirements;
  • Appraised value, property condition, title, environmental status, projected income, market rent, or collateral value will meet expectations; or
  • A capital source will maintain previously indicated pricing or program guidelines.


All financing remains subject to the applicable capital source’s underwriting, due diligence, documentation, valuation, collateral, credit, liquidity, experience, compliance, and final approval requirements.


Capital sources may change or withdraw their programs, pricing, leverage limits, eligibility standards, documentation requirements, or approvals at any time.


7. PRELIMINARY QUOTES, SCENARIOS, AND TERM INFORMATION


Any rate, payment, loan amount, leverage, proceeds estimate, cash-out estimate, debt-service coverage ratio, return calculation, fee estimate, term summary, or financing scenario presented on the Site or communicated before formal approval is preliminary and illustrative unless expressly identified as binding in a signed writing.

Preliminary scenarios may be based on information supplied by you and may change after review of:

  • Credit;
  • Income;
  • Liquidity;
  • Experience;
  • Ownership;
  • Property value;
  • Market rent;
  • Leases;
  • Taxes;
  • insurance;
  • Association fees;
  • Construction budgets;
  • Plans and specifications;
  • Title;
  • Environmental reports;
  • Appraisals;
  • Third-party reports;
  • Existing debt;
  • Exit strategy;
  • Guarantor strength; or
  • Other underwriting information.


A prequalification, preliminary quote, financing scenario, expression of interest, or conditional term sheet is not a final loan approval or commitment to fund.


8. FINANCING-OPPORTUNITY SUBMISSIONS


The Site may allow you to submit financing opportunities, contact information, business information, property information, credit information, project materials, and supporting documents.


By submitting an opportunity, you authorize HOUSTON FiNTECH to:

  1. Review and evaluate the information;
  2. Contact you regarding the opportunity;
  3. Request additional documents or explanations;
  4. Conduct preliminary eligibility and capital-readiness reviews;
  5. Share the opportunity with appropriate employees, contractors, processors, advisors, affiliates, service providers, lenders, investors, banks, private credit funds, equity sources, and other prospective capital providers;
  6. Obtain preliminary feedback, pricing, eligibility determinations, or expressions of interest;
  7. Coordinate due diligence and underwriting activities; and
  8. Maintain transaction records for legitimate business, compliance, risk-management, and relationship-management purposes.


Submission of an opportunity does not obligate HOUSTON FiNTECH to present the opportunity to any capital source.


We may decline, suspend, or discontinue our review of any opportunity at any time, subject to any separate written engagement agreement.


9. AUTHORIZATION TO SHARE TRANSACTION INFORMATION


You acknowledge that private capital brokerage requires HOUSTON FiNTECH to communicate transaction information to prospective lenders, capital providers, referral partners, processors, underwriters, appraisers, title companies, attorneys, consultants, and other transaction participants.


By submitting information or documents, you authorize HOUSTON FiNTECH to disclose and transmit that information to parties we reasonably believe may assist in evaluating, structuring, underwriting, processing, documenting, or closing the proposed transaction.


This authorization includes information concerning:

  • The borrower or business;
  • Ownership and management;
  • Guarantors;
  • Credit profile;
  • Financial condition;
  • Property or collateral;
  • Purchase agreements;
  • Construction plans and budgets;
  • Leases and rent rolls;
  • Existing debt;
  • Sources and uses;
  • Project history;
  • Transaction structure; and
  • The requested financing.


You represent that you have the authority and any legally required consent to provide this information.


Do not submit confidential information, trade secrets, personal information, or third-party records that you are not authorized to disclose.


10. CONFIDENTIALITY OF SUBMISSIONS


Information submitted through the Site will be handled in accordance with our Privacy Policy and applicable written agreements.


However, unless HOUSTON FiNTECH has signed a separate written confidentiality or nondisclosure agreement, submission of information through the Site does not create a general duty to treat the entire transaction as confidential.


You understand that we may need to disclose submitted information to prospective capital sources and transaction participants to perform brokerage and advisory services.

Do not submit information through a public discussion area, unsecured communication channel, or general comment field if the information is highly sensitive.


Sensitive financial, identity, tax, credit, banking, or ownership documents should be submitted only through a document-upload channel designated by HOUSTON FiNTECH.


11. ACCURACY OF INFORMATION


You represent and warrant that all information you submit is:

  • Accurate;
  • Complete;
  • Current;
  • Not misleading;
  • Lawfully obtained;
  • Submitted with proper authority; and
  • Not altered, fabricated, or presented in a deceptive manner.


You must promptly notify HOUSTON FiNTECH if submitted information becomes inaccurate or if there is a material change in the borrower, business, ownership, guarantor, property, project, collateral, financial condition, legal status, litigation, bankruptcy status, intended use of funds, or transaction structure.


HOUSTON FiNTECH and prospective capital sources may rely on information you provide. You are responsible for losses, delays, declined applications, additional costs, or other consequences resulting from incomplete, inaccurate, inconsistent, unauthorized, or misleading information.


We may terminate our review or engagement if we reasonably believe that information has been falsified, concealed, manipulated, or misrepresented.


12. CREDIT AND DUE DILIGENCE AUTHORIZATION


Where permitted by law and supported by appropriate authorization, a lender, capital provider, service provider, or HOUSTON FiNTECH may request, obtain, or review information concerning:

  • Consumer credit;
  • Business credit;
  • Public records;
  • Ownership;
  • Background;
  • Litigation;
  • Bankruptcy;
  • Sanctions;
  • Identity;
  • Fraud indicators;
  • Banking history;
  • Financial statements;
  • Tax records; and
  • Other underwriting or compliance information.


Submission of a credit score or other credit information through the Site is informational and does not, by itself, constitute authorization for a hard credit inquiry.


Any required credit-report authorization or other legally required consent may be obtained through a separate disclosure, application, or authorization form.


13. FEES AND THIRD-PARTY COSTS


HOUSTON FiNTECH may charge fees for advisory, brokerage, processing, packaging, due diligence, capital placement, consulting, referral-program administration, or other services.

The amount, timing, refundability, and conditions of any fee will be stated in an applicable engagement agreement, fee agreement, invoice, term sheet, payment page, or other written disclosure.


Unless expressly stated otherwise in writing:

  • Fees paid to HOUSTON FiNTECH compensate the Company for services performed and resources committed;
  • Payment of a fee does not guarantee approval or funding;
  • Third-party costs are separate from HOUSTON FiNTECH’s fees;
  • Third-party costs may include appraisal, environmental, title, legal, inspection, survey, engineering, credit, background, filing, underwriting, valuation, documentation, or closing expenses;
  • Third-party costs may be payable directly to the applicable provider;
  • Third-party costs may be nonrefundable after the applicable service has been ordered or performed; and
  • A lender may charge its own origination, underwriting, legal, closing, exit, extension, servicing, or other fees.


The applicable written transaction documents will control the treatment of fees, credits, refunds, and third-party expenses.


14. REFERRAL AND PARTNER PROGRAMS


Participation in any referral, affiliate, banker, professional-partner, broker, or capital-provider program may require acceptance of a separate agreement.


No person is entitled to a referral fee, commission, revenue share, or other compensation merely because the person submitted a name, inquiry, or opportunity through the Site.

Compensation is payable only when:

  1. A written referral or partner agreement applies;
  2. The referral is properly submitted and accepted;
  3. The transaction satisfies the applicable eligibility requirements;
  4. Compensation is lawful in the applicable jurisdiction;
  5. The transaction closes and funds, if required by the agreement; and
  6. All other payment conditions have been satisfied.


Referral partners may not represent themselves as employees, agents, lenders, underwriters, or authorized representatives of HOUSTON FiNTECH unless expressly authorized in writing.

Referral partners may not promise approval, quote unauthorized terms, collect unauthorized fees, make misleading statements, or use HOUSTON FiNTECH’s name or intellectual property without permission.


15. ELECTRONIC COMMUNICATIONS


By using the Site or submitting your contact information, you consent to receive transaction-related communications from HOUSTON FiNTECH by email, telephone, text message, portal notification, or other reasonable electronic means.

Communications may concern:

  • Your inquiry;
  • Document requests;
  • Capital-readiness issues;
  • Financing options;
  • Transaction status;
  • Underwriting conditions;
  • Scheduling;
  • Engagement documents;
  • Invoices;
  • Referral-program matters; or
  • Related services.


Marketing communications will be provided in accordance with applicable law and any consent language presented when your information is collected.


You may opt out of non-transactional marketing emails by using the unsubscribe mechanism included in the communication. Opting out of marketing communications does not prevent us from sending communications reasonably necessary to service an active inquiry, engagement, transaction, or legal obligation.


You are responsible for keeping your contact information current.


16. ELECTRONIC RECORDS AND SIGNATURES


You agree that electronic communications, notices, disclosures, records, acknowledgments, and signatures may satisfy any legal requirement that the communication or agreement be in writing, to the extent permitted by applicable law.


You may be asked to review and electronically sign engagement agreements, authorizations, disclosures, term sheets, fee agreements, or other documents.


You are responsible for maintaining copies of electronically executed documents for your records.


17. USER ACCOUNTS AND PORTALS


Certain areas of the Site may require an account, password, invitation, or access credential.

You are responsible for:

  • Protecting your credentials;
  • Restricting unauthorized access;
  • Using accurate account information;
  • Promptly notifying us of suspected unauthorized use; and
  • All activity conducted through your account.


You may not share credentials with an unauthorized person, impersonate another person, access another user’s account, or attempt to bypass Site security.


We may suspend or terminate portal access when necessary to protect the Site, users, submitted information, capital-source relationships, or Company operations.


18. ACCEPTABLE USE


You may use the Site only for lawful purposes.

You may not:

  1. Submit false, fraudulent, deceptive, defamatory, or misleading information;
  2. Upload forged, manipulated, stolen, infringing, malicious, or unauthorized materials;
  3. Use the Site to facilitate fraud, money laundering, sanctions evasion, identity theft, unlawful discrimination, or other illegal activity;
  4. Attempt to gain unauthorized access to the Site, accounts, servers, databases, or networks;
  5. Introduce viruses, malware, ransomware, harmful code, or automated attacks;
  6. Scrape, crawl, harvest, copy, or extract Site information through unauthorized automated means;
  7. Interfere with Site operations or another person’s use of the Site;
  8. Reverse engineer or attempt to discover source code;
  9. Misrepresent your identity, authority, ownership, experience, financial condition, or relationship to a transaction;
  10. Use Site content to compete unfairly with HOUSTON FiNTECH;
  11. Circumvent HOUSTON FiNTECH to avoid an earned or contractually payable fee;
  12. Contact a capital source introduced through HOUSTON FiNTECH in violation of a separate agreement;
  13. Use Site information for unsolicited marketing or data harvesting; or
  14. Violate any applicable law, regulation, court order, contractual obligation, or third-party right.


19. INTELLECTUAL PROPERTY


The Site and its original content, including its text, graphics, logos, names, slogans, photographs, videos, audio, forms, reports, assessments, methodologies, templates, presentations, transaction frameworks, capital-readiness materials, software, design, and arrangement, are owned by or licensed to HOUSTON FiNTECH and are protected by applicable intellectual-property laws.


“HOUSTON FiNTECH,” “FiNTECH = Fast. Simple. Funded.,” “Bridging the Gap Between Capital and Opportunity,” and related branding may not be used without prior written permission.


Subject to these Terms, HOUSTON FiNTECH grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your internal business and informational purposes.


You may not reproduce, republish, distribute, sell, sublicense, modify, create derivative works from, publicly display, or commercially exploit Site content without prior written authorization.


20. USER-SUBMITTED MATERIALS


You retain ownership of materials you lawfully submit through the Site.

By submitting materials, you grant HOUSTON FiNTECH a nonexclusive, worldwide, royalty-free license to receive, store, reproduce, review, analyze, format, summarize, transmit, and disclose those materials as reasonably necessary to:

  • Evaluate the opportunity;
  • Provide requested services;
  • Prepare financing packages;
  • Communicate with prospective capital sources;
  • Conduct due diligence;
  • Support underwriting;
  • Administer the relationship;
  • Maintain required records; and
  • Protect the Company’s legal and business interests.


This license continues for as long as reasonably necessary to complete these purposes, satisfy legal or regulatory requirements, maintain transaction records, or resolve disputes.

You represent that your submission does not violate another party’s privacy, confidentiality, intellectual-property, contractual, or other legal rights.


21. THIRD-PARTY WEBSITES AND SERVICES


The Site may contain links to or integrations with third-party websites, portals, payment processors, document-storage providers, customer relationship management systems, referral-program platforms, analytics providers, social media services, lenders, capital providers, or other service providers.


HOUSTON FiNTECH does not control and is not responsible for:

  • Third-party content;
  • Third-party privacy or security practices;
  • Third-party availability;
  • Third-party underwriting decisions;
  • Third-party representations;
  • Third-party products or services;
  • Third-party fees;
  • Third-party performance; or
  • Losses resulting from your use of a third-party service.


Your use of a third-party website or service is governed by that party’s terms and policies.

A link, integration, introduction, or reference does not constitute an endorsement or guarantee.


22. PRIVACY AND DATA SECURITY


Our collection, use, storage, and disclosure of information submitted through the Site are described in our Privacy Policy.


You acknowledge that no website, email system, file-transfer system, electronic storage system, or internet transmission can be guaranteed to be completely secure.


Although HOUSTON FiNTECH may use administrative, technical, and organizational safeguards intended to protect information, we cannot guarantee that unauthorized access, interception, loss, or disclosure will never occur.


You are responsible for using reasonable security practices when transmitting sensitive information and for promptly notifying us of suspected unauthorized access or compromised credentials.


23. CASE STUDIES, TESTIMONIALS, AND EXAMPLES


Any case study, testimonial, transaction example, historical closing, financing scenario, or client experience appearing on the Site is provided for illustration only.


Results vary based on the borrower, guarantor, business, collateral, lender, property, market, transaction structure, documentation, credit profile, experience, liquidity, and other factors.

Past performance, prior approvals, and prior closings do not guarantee future results.


A testimonial reflects the experience or opinion of the person providing it and may not represent the experience of every client.


24. WEBSITE AVAILABILITY AND CHANGES


We may modify, update, suspend, restrict, discontinue, or remove any part of the Site at any time without liability.


We do not guarantee that:

  • The Site will always be available;
  • The Site will be uninterrupted or error-free;
  • Information will always be current;
  • Every program shown will remain available;
  • Every link or integration will function; or
  • Every submission will be received, retained, or reviewed.


You are responsible for maintaining independent copies of important information and documents submitted through the Site.


25. DISCLAIMER OF WARRANTIES


TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, TOOLS, FORMS, MATERIALS, AND ONLINE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”


HOUSTON FiNTECH DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • AVAILABILITY;
  • SECURITY;
  • RELIABILITY; AND
  • RESULTS.


WE DO NOT WARRANT THAT THE SITE, ITS CONTENT, OR ANY COMMUNICATION WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, CURRENT, OR SUITABLE FOR A PARTICULAR TRANSACTION.


Some jurisdictions may not permit the exclusion of certain warranties. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.


26. LIMITATION OF LIABILITY


TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOUSTON FiNTECH AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING:

  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS OPPORTUNITY;
  • LOST FINANCING;
  • LOST DATA;
  • LOSS OF GOODWILL;
  • PROJECT DELAYS;
  • INCREASED FINANCING COSTS;
  • FAILED ACQUISITIONS;
  • FAILED CLOSINGS; OR
  • LOSSES ARISING FROM A THIRD-PARTY CAPITAL SOURCE’S DECISION.


This limitation applies whether the claim arises from contract, tort, negligence, strict liability, statute, or another legal theory, even if HOUSTON FiNTECH has been advised of the possibility of the loss.


To the maximum extent permitted by law, HOUSTON FiNTECH’s total liability arising from your use of the Site will not exceed the greater of:

  1. The amount you paid directly to HOUSTON FiNTECH specifically for Site access during the six months preceding the event giving rise to the claim; or
  2. One hundred dollars ($100.00).


This Site-related limitation does not modify a different liability provision contained in a separate written agreement.


Nothing in these Terms excludes liability that cannot lawfully be excluded.


27. INDEMNIFICATION


To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless HOUSTON FiNTECH and its owners, officers, directors, employees, contractors, representatives, affiliates, and service providers from claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from or related to:

  • Your use or misuse of the Site;
  • Information or documents you submit;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement of another person’s rights;
  • Your lack of authority to submit information;
  • Fraud, misrepresentation, or unauthorized conduct by you; or
  • A dispute between you and another borrower, owner, partner, guarantor, broker, lender, investor, contractor, or transaction participant.


This provision does not require you to indemnify a protected party for liability that applicable law prohibits from being indemnified.


28. SUSPENSION AND TERMINATION


We may restrict, suspend, or terminate your access to the Site if we reasonably believe that:

  • You violated these Terms;
  • You submitted inaccurate, misleading, fraudulent, or unauthorized information;
  • Your conduct creates legal, regulatory, security, reputational, or operational risk;
  • Your account has been compromised;
  • Your use interferes with another person or the Site;
  • Termination is required by law or requested by a capital provider; or
  • Continued access is not in HOUSTON FiNTECH’s legitimate business interests.


Provisions that by their nature should survive termination—including intellectual-property, confidentiality, disclaimer, limitation-of-liability, indemnification, governing-law, and dispute provisions—will survive.


29. GOVERNING LAW AND VENUE


These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.


Before filing a lawsuit concerning these Terms, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct written communication.


Unless applicable law requires otherwise, any legal action arising from or related to the Site or these Terms must be brought exclusively in a state court located in Harris County, Texas, or the United States District Court having jurisdiction over Harris County, Texas.


You consent to the personal jurisdiction and venue of those courts.


30. TIME LIMIT FOR SITE-RELATED CLAIMS


To the maximum extent permitted by law, a claim arising solely from use of the Site must be filed within one year after the event giving rise to the claim.


If applicable law does not permit this limitation, the claim must be filed within the shortest period permitted by law.


This provision does not alter a limitations period contained in a separate signed agreement.


31. CHANGES TO THESE TERMS


We may revise these Terms periodically.


The revised Terms will be posted on the Site with an updated “Last Updated” date. Material changes may also be communicated through the Site, email, portal, or another reasonable method.


Changes apply prospectively from the effective date stated in the revised Terms.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.


A revision to these Website Terms will not retroactively modify a separate signed agreement unless the parties agree in writing.


32. SEVERABILITY


If a provision of these Terms is held invalid, illegal, or unenforceable, the provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.


33. NO WAIVER


Failure by HOUSTON FiNTECH to enforce a provision of these Terms does not waive the right to enforce that provision or any other provision later.


A waiver must be in writing and signed by an authorized representative of HOUSTON FiNTECH.


34. ASSIGNMENT


You may not assign or transfer your rights or obligations under these Terms without prior written consent from HOUSTON FiNTECH.


HOUSTON FiNTECH may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, affiliate arrangement, or transfer of Site operations.


35. ENTIRE AGREEMENT


These Terms, together with the Privacy Policy and any notices or policies expressly incorporated by reference, constitute the entire agreement concerning your general use of the Site.


Transaction-specific services remain governed by the applicable engagement agreements, referral agreements, fee agreements, financing documents, and other signed writings.
